1. Introduction, Application and Legal Notice
1.1 These Terms and Conditions of Use (“Terms”, “Agreement”) constitute a legally binding agreement between:
• Winngoo Platform Operator (including its parents, subsidiaries, affiliates, directors, officers, employees, agents, representatives, successors and permitted assigns)
• any natural person, corporate entity, partnership, association, or other legal person who accesses, browses, registers or uses the Winngoo Platform in Malaysia (“User”, “you”, “your”).
1.2 These Terms govern:
a. access to the Platform;
b. creation and maintenance of user accounts;
c. use of any tools, software, applications or services;
d. participation in any transactions conducted through the Platform;
e. any communication or interaction with Winngoo;
f. any use of content, data, materials or features made available.
1.3 By accessing or using the Platform in any manner whatsoever, including but not limited to visiting the Website, registering an account, submitting information, or clicking “I Agree”, you unconditionally:
• acknowledge that you have read and understood these Terms;
• agree to be bound by these Terms;
• consent to the collection and processing of your personal data in accordance with applicable laws.
1.4 If you do not agree to any provision of these Terms, you must immediately cease accessing or using the Platform.
1.5 These Terms are subject to and shall be construed in accordance with the laws of Malaysia, without prejudice to mandatory consumer protection rights available under Malaysian statutes.
1.6 Winngoo may operate in multiple jurisdictions. Where services are provided to Users within Malaysia, these Terms specifically apply to use within Malaysia and shall prevail over inconsistent international terms applicable elsewhere.
2. Definitions and Interpretation
2.1 Definitions
For purposes of these Terms, unless the context requires otherwise:
• “Applicable Law” means all laws, statutes, by-laws, regulations, rules, directives, guidelines, circulars and decisions issued by government or regulatory bodies in Malaysia, including without limitation:
o Contracts Act 1950
o Consumer Protection Act 1999
o Personal Data Protection Act 2010 (PDPA)
o Electronic Commerce Act 2006
o Communications and Multimedia Act 1998
o Anti-Money Laundering, Anti-Terrorism Financing and Proceeds of Unlawful Activities Act
o any amendments or replacements thereto.
• “Business Day” means any day other than Saturday, Sunday or public holiday in Malaysia.
• “Content” includes text, graphics, audio, video, software, data, databases, trademarks, logos, interfaces, layouts, compilations and any other material made available on the Platform.
• “Platform” means the Winngoo website, mobile applications, portals, back-end systems, communication channels, software, APIs and all related technology infrastructure.
• “Services” means any features, programs, tools, functionalities or transactions accessible through the Platform, whether free or paid.
• “User Account” means the registered digital profile created by or for a User for the purpose of accessing the Platform.
• “Winngoo”, “we”, “us” or “our” means the operator of the Platform.
2.2 Interpretation Rules
Unless otherwise stated:
a. Words in the singular include the plural and vice versa.
b. References to a gender include all genders.
c. Headings are inserted for convenience only and shall not affect interpretation.
d. References to “including” or “includes” mean “including without limitation.”
e. References to a statute include amendments, re-enactments or replacements.
3. Scope and Nature of the Platform
3.1 Winngoo provides a digital platform enabling users to access technology-enabled services, tools and content. Winngoo does not guarantee the availability of any specific feature and may add, modify or discontinue elements at its discretion.
3.2 The Platform may be used by:
• individuals
• businesses
• agents
• merchants
• service providers
subject always to compliance with these Terms.
3.3 Unless expressly stated, Winngoo:
• is not a party to independent arrangements between Users;
• is not responsible for statements made by Users or third parties;
• does not provide any warranty regarding the accuracy, reliability or completeness of information posted on the Platform.
3.4 Nothing in the Platform constitutes:
• legal advice
• professional services advice
• financial advisory services
• employment or partnership relationship
and Users are responsible for their own independent judgment.
4. Eligibility and Legal Capacity
4.1 To use the Platform in Malaysia, you must:
a. be at least 18 years old;
b. be legally capable of entering into binding contracts;
c. not be suspended or barred from using the Platform;
d. comply with all Applicable Laws.
4.2 Where a User is a company or organisation, the person using the Platform warrants that they are duly authorised to act on its behalf.
4.3 Winngoo reserves the right to request proof of identity or authority at any time and may suspend access in the event of doubt or suspected misuse.
5. Acceptance of Terms and Modifications
5.1 Your continued use of the Platform constitutes your continuing acceptance of:
• these Terms;
• any supplementary platform policies;
• any amendments as published.
5.2 Winngoo reserves the right to:
• modify
• update
• revise
• supplement
• replace
these Terms at any time by posting updated Terms on the Platform.
5.3 Upon publication, changes become effective immediately unless otherwise specified. You are responsible for reviewing the Terms periodically.
5.4 If you do not agree to amended Terms, you must discontinue using the Platform.
6. Business Identity and Regulatory Disclosures (Malaysia)
6.1 To comply with the Consumer Protection (Electronic Trade Transactions) Regulations 2012, Winngoo will ensure that the following information is made available on the Platform where applicable:
a. business name and registration number;
b. email and telephone contact details;
c. description of goods or services offered;
d. total price, inclusive of taxes and charges;
e. terms of payment;
f. estimated time of delivery or service performance;
g. refund, exchange and cancellation policy.
6.2 Users acknowledge that Malaysian authorities may require verification of:
• seller identity;
• transaction history;
• records retention;
and Winngoo may cooperate in accordance with Applicable Law.
7. User Account Registration
7.1 In order to access certain Services, the User may be required to register and create a User Account.
7.2 The User agrees to:
a. provide accurate, complete and current information;
b. promptly update any changes to account details;
c. not impersonate any person or misrepresent affiliation;
d. not create accounts using automated means.
7.3 Users remain solely responsible for activities conducted through their accounts whether authorised or unauthorised.
7.4 Winngoo reserves the right to reject registrations, suspend accounts or terminate access where:
• false information is provided;
• account misuse is suspected;
• there is a breach of these Terms or Applicable Law.
8. Account Security and Access Credentials
8.1 Users are required to maintain strict confidentiality of:
• usernames;
• passwords;
• authentication methods;
• security codes;
• OTPs;
• API keys (if applicable).
8.2 You shall:
a. not share login credentials with others;
b. notify Winngoo immediately of unauthorised use or suspicious activity;
c. log out after each session;
d. implement appropriate device security.
8.3 Winngoo shall not be liable for any loss, damage or liability arising from:
• compromised passwords;
• unauthorised use of an account;
• user negligence.
9. User Responsibilities and Obligations
9.1 The User agrees to use the Platform strictly in accordance with these Terms and Applicable Laws.
9.2 Without limiting the generality of the foregoing, the User shall:
a. provide accurate information when requested;
b. use the Platform only for lawful purposes;
c. respect intellectual property rights of Winngoo and third parties;
d. refrain from conduct that may harm the Platform’s reputation;
e. ensure compatibility of their devices and systems with the Platform;
f. comply with any instructions or guidelines issued by Winngoo from time to time.
9.3 The User is solely responsible for:
• any data uploaded or submitted;
• consequences of any content published;
• securing their devices against malware and unauthorised access.
9.4 The User shall not rely solely on the Platform for legal, financial, medical, or professional decision-making and acknowledges that independent advice should be sought where appropriate.
10. User Representations and Warranties
10.1 By accessing or using the Platform, the User represents and warrants that:
a. they possess full legal capacity;
b. they will comply with Applicable Laws in Malaysia;
c. information supplied by them is true and not misleading;
d. they will not use the Platform for fraudulent or deceptive purposes;
e. they are not bankrupt or prohibited by law from entering contracts.
10.2 Where the User acts on behalf of a company or organisation, the User further warrants that:
a. they are duly authorised to bind such entity;
b. use of the Platform is for legitimate business purposes;
c. all corporate approvals have been obtained.
10.3 Winngoo relies on these warranties and shall be entitled to suspend or terminate access if any representation is false or becomes untrue.
11. Prohibited Conduct and Restricted Activities
11.1 The User shall not, whether directly or indirectly:
a. engage in unlawful, fraudulent or criminal activities;
b. post or transmit defamatory, obscene, offensive or hateful material;
c. infringe copyrights, trademarks or trade secrets;
d. interfere with Platform operations or security systems;
e. introduce viruses, worms, Trojan horses or malicious code;
f. perform data scraping, harvesting or automated extraction without consent;
g. misrepresent identity or impersonate another person;
h. violate privacy or data protection rights of others;
i. circumvent access restrictions or authentication mechanisms;
j. use the Platform to promote illegal products or services.
11.2 Winngoo reserves the right to report suspected unlawful activities to:
• law enforcement agencies;
• regulators;
• relevant authorities;
and to cooperate with investigations.
12. Intellectual Property Rights
12.1 All intellectual property in and to the Platform, including but not limited to:
• software;
• source code;
• designs;
• compilations;
• layout;
• text;
• images;
• trade names;
• service marks;
is owned by or licensed to Winngoo.
12.2 Users are granted a limited, revocable, non-exclusive, non-transferable, non-sub-licensable license to use the Platform solely for permitted purposes and strictly in accordance with these Terms.
12.3 Users shall not:
a. copy, adapt, distribute or create derivative works;
b. reverse engineer, decompile or disassemble software;
c. remove copyright notices or proprietary labels;
d. exploit Platform content for commercial gain without written consent.
13. User-Generated Content and License Grant
13.1 Users may submit content including text, images, data, comments or information (“User Content”).
13.2 By submitting User Content, the User grants Winngoo a worldwide, royalty-free, irrevocable, perpetual license to:
• use;
• store;
• reproduce;
• modify;
• adapt;
• publish;
• display;
• distribute;
for operation, improvement and promotion of the Platform.
13.3 The User confirms that:
a. they own or have lawful rights to submit such content;
b. User Content does not violate any third-party rights;
c. User Content complies with Applicable Law.
13.4 Winngoo may remove, edit, restrict or block access to User Content that, in its sole discretion:
• is illegal;
• breaches these Terms;
• may expose Winngoo to liability;
• is inappropriate or harmful.
14. Third-Party Content, Links and Services
14.1 The Platform may display or link to:
• third-party websites;
• advertisers;
• applications;
• payment processors;
• service providers.
14.2 Such links are provided solely for convenience and do not constitute endorsement, recommendation or guarantee of accuracy.
14.3 Users acknowledge that third-party platforms operate under their own:
• terms;
• privacy policies;
• disclaimers;
and Winngoo is not responsible for their availability, content or conduct.
15. Platform Availability and Service Levels
15.1 Winngoo endeavours to ensure that the Platform is available on a continuous basis; however, availability is not guaranteed.
15.2 Access may be suspended or interrupted due to:
a. maintenance, upgrades or repairs;
b. hardware or software failure;
c. network or telecommunications disruption;
d. events beyond reasonable control (force majeure);
e. security incidents or suspected breaches.
15.3 Winngoo shall not be liable for any loss or damage arising from:
• service interruptions;
• delays;
• data loss;
• inability to access the Platform.
16. Technology, Software and System Requirements
16.1 The User is responsible for ensuring that:
a. device hardware is compatible;
b. internet connection is stable;
c. browser or app version is current.
16.2 Certain features may require:
• location access;
• camera or microphone use;
• push notifications;
• cookies or storage permissions.
16.3 Winngoo is not responsible for charges imposed by:
• Internet Service Providers;
• mobile network operators;
• data service providers.
17. Electronic Communications and Records
17.1 By using the Platform, the User consents to receive communications electronically, including:
• emails;
• SMS;
• in-app notifications;
• system alerts.
17.2 Electronic records, notices and disclosures provided by Winngoo shall have the same legal effect as written communications to the fullest extent permitted by Malaysian law.
18. Fees, Charges, Taxes and Pricing
18.1 Where applicable, the User agrees to pay:
• subscription fees;
• service charges;
• transaction fees;
• administrative fees;
• applicable taxes or duties.
18.2 Prices displayed are subject to change at any time at Winngoo’s discretion unless otherwise fixed by contract.
18.3 Users are responsible for reporting and paying any taxes imposed under Malaysian law in relation to their use of the Platform.
19. Payment Terms and Processing Rules
19.1 Payments may be processed through:
• payment gateways;
• credit or debit cards;
• online banking;
• e-wallets;
• other authorised methods.
19.2 By initiating payment, the User authorises:
a. the charge of the relevant amount;
b. storage of payment information if consented;
c. verification by payment processors.
19.3 Winngoo is not responsible for:
• payment network failures;
• declined transactions;
• bank processing delays;
• technical issues of third-party gateways.
20. Refunds, Cancellations and Chargebacks
20.1 Refund eligibility shall be governed by the Platform’s refund policy, which may vary depending on the service type.
20.2 Winngoo reserves the right to approve, reject or partially process refund requests based on:
• transaction records;
• policy compliance;
• Applicable Law.
20.3 Users shall not engage in abusive chargeback behaviour or fraudulent refund claims.
21. Subscriptions, Memberships and Renewals
21.1 Certain Services on the Platform may be offered on:
• subscription basis;
• recurring billing plans;
• tiered membership structures;
subject to specific plan terms.
21.2 By subscribing, the User expressly authorises Winngoo to:
a. charge recurring subscription fees at stated intervals;
b. automatically renew the subscription unless cancelled in accordance with policy;
c. send reminders or notifications regarding renewal, expiry or upgrade options.
21.3 Subscription plans, features and prices may vary by:
• country;
• currency;
• user category;
• promotional arrangements;
and Winngoo reserves the right to modify such plans with prior notice where reasonably practicable.
21.4 Users may cancel subscriptions subject to the applicable notice period, however:
• prepaid fees may be non-refundable unless required by law;
• access to premium features will cease upon expiry of the subscription term.
22. Promotions, Discounts, Vouchers and Coupon Codes
22.1 Winngoo may from time to time issue:
• promotional offers;
• discount vouchers;
• coupon codes;
• loyalty or referral benefits;
subject to stated terms and validity periods.
22.2 Users acknowledge that such promotions:
a. may be limited in quantity;
b. may be withdrawn without notice;
c. cannot be redeemed for cash;
d. may not be combined unless expressly permitted.
22.3 Winngoo reserves the right to:
• decline fraudulent or suspicious redemptions;
• cancel benefits obtained through misuse or manipulation;
• amend or discontinue promotional programmes at its discretion.
23. Delivery of Digital Products or Services
23.1 Where the Platform delivers digital content or services, delivery shall be deemed completed when:
• access credentials are issued; or
• service capabilities are activated; or
• download becomes available.
23.2 Users are responsible for ensuring:
• internet connectivity;
• device compatibility;
• sufficient storage space.
23.3 Winngoo shall not be liable for:
• user device malfunction;
• deleted or lost downloaded items;
• third-party software conflicts.
24. Customer Support, Enquiries and Complaint Handling
24.1 Winngoo provides customer support channels which may include:
• email support;
• online helpdesk;
• chat assistance;
• FAQ and guidance materials.
24.2 Users may lodge complaints relating to:
• account issues;
• billing disputes;
• service quality concerns;
• alleged policy breaches.
24.3 Complaints will be:
a. acknowledged within a reasonable period;
b. investigated fairly;
c. resolved where practicable in accordance with internal procedures.
24.4 Where disputes cannot be resolved internally, Users retain the right to pursue:
• mediation;
• arbitration;
• legal remedies under Malaysian law.
25. Personal Data Protection and Privacy Compliance (PDPA 2010)
25.1 Winngoo is committed to compliance with the Personal Data Protection Act 2010 (PDPA) of Malaysia.
25.2 By using the Platform, the User consents to:
• collection;
• processing;
• storage;
• disclosure;
of personal data for legitimate purposes connected with the operation of the Platform.
25.3 Personal data collected may include:
• name;
• contact details;
• device information;
• transactional data;
• location data (where permitted);
• communications with the Platform.
25.4 Personal data may be used for:
a. account creation and management;
b. transaction processing;
c. customer service;
d. security and fraud prevention;
e. legal compliance;
f. analytics and service improvement.
25.5 Winngoo may transfer or store data outside Malaysia subject to safeguards consistent with PDPA obligations.
26. User Rights under PDPA
26.1 Subject to PDPA, Users have the right to:
• access personal data held about them;
• request correction of inaccurate data;
• withdraw consent to processing (subject to contractual obligations);
• restrict certain forms of direct marketing.
26.2 Requests must be made in writing and accompanied by proof of identity.
26.3 Withdrawal of consent may result in:
• restriction of services;
• account deactivation;
• inability to continue certain transactions.
27. Cookies, Tracking Technologies and Analytics
27.1 The Platform may use cookies and similar technologies to:
• enhance user experience;
• remember preferences;
• measure performance;
• perform analytics.
27.2 Users may control cookies through browser settings; however, disabling cookies may affect platform functionality.
27.3 By continuing to use the Platform, the User consents to such technologies consistent with the Cookie Policy.
28. Confidential Information
28.1 “Confidential Information” includes:
• business plans;
• technical data;
• user lists;
• algorithms;
• internal communications;
• non-public platform information.
28.2 Users agree not to:
a. disclose Confidential Information to third parties;
b. exploit such information for competitive purposes;
c. misuse information obtained through the Platform.
28.3 This obligation survives termination of the Agreement.
29. Security Measures and User Cooperation
29.1 Winngoo implements reasonable security measures to protect:
• platform integrity;
• user accounts;
• transaction data.
29.2 Users must:
• cooperate with security checks;
• update software;
• use strong passwords;
• report suspicious activities promptly.
29.3 Winngoo does not guarantee that the Platform is free from:
• viruses;
• malware;
• unauthorised intrusions;
and Users access the Platform at their own risk.
30. Reporting Abuse, Illegal Activity or Policy Violations
30.1 Users may report abuse via designated channels.
30.2 Winngoo may investigate complaints and take actions including:
• warning notices;
• content removal;
• account suspension;
• reporting to authorities.
30.3 Winngoo reserves the right to act on reasonable suspicion even without user complaints.
31. Suspension, Limitation and Termination of Access
31.1 Winngoo may suspend or terminate a User Account where:
- policy violations occur;
- unlawful activity is suspected;
- chargebacks or payment fraud is detected;
- inaccurate or misleading information is provided;
- platform integrity or other users’ safety is at risk.
31.2 Suspension may be temporary or permanent depending on severity.
31.3 Upon termination:
- access rights cease;
- stored data may be deleted subject to retention laws;
- outstanding obligations survive termination.
32. Consequences of Termination
32.1 Following termination:
- licences granted to the User shall immediately cease;
- Winngoo may deny further access without liability;
- fees paid are non-refundable unless required by law.
32.2 Termination does not affect accrued rights or liabilities prior to termination.
33. Record Retention and Archiving
33.1 Winngoo may retain:
- account records;
- transaction data;
- communications;
for periods required by Malaysian law, taxation requirements or regulatory guidelines.
33.2 After expiry of retention periods, data may be anonymised or securely deleted.
34. Limitation of Liability
34.1 To the maximum extent permitted by Malaysian law, Winngoo shall not be liable for:
- indirect, incidental, punitive or consequential losses;
- loss of profits, revenue, goodwill or data;
- business interruption;
- reliance on content or information from the Platform.
34.2 Where liability cannot be excluded, it shall be limited to:
- the amount paid by the User for the relevant service; or
- a reasonable amount determined by law.
35. Indemnity and Hold Harmless
35.1 The User agrees to indemnify Winngoo against all claims, damages, penalties and costs arising from:
- breach of these Terms;
- violation of law;
- misuse of the Platform;
infringement of third-party rights.
36. Disclaimer of Warranties
36.1 The Platform is provided on an “as is” and “as available” basis.
36.2 Winngoo expressly disclaims all warranties, whether express or implied, including:
- merchantability;
- fitness for particular purpose;
- non-infringement;
- accuracy or completeness of information.
37. Force Majeure
37.1 Winngoo shall not be liable for failure or delay caused by events beyond reasonable control including:
- natural disasters;
- strikes or labour disputes;
- power failures;
- telecommunications outages;
- governmental restrictions;
- epidemics or pandemics.
38. Anti-Money Laundering and Counter-Terrorism Financing
38.1 Winngoo supports compliance with Malaysian anti-money laundering and counter-terrorism financing laws.
38.2 Winngoo may:
- conduct identity verification checks;
- monitor suspicious transactions;
- report activities to authorities as required by law.
39. Dispute Resolution and Governing Law
39.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia, without regard to conflict-of-law principles.
39.2 In the event of any dispute, controversy or claim arising out of or relating to:
- the use of the Platform;
- interpretation of these Terms;
- performance or breach of obligations;
- validity or termination of this Agreement;
the Parties shall first attempt to resolve the matter amicably through negotiations.
39.3 If the dispute is not resolved within a reasonable period, either Party may refer the dispute to mediation administered by a recognised mediation institution in Malaysia.
39.4 If mediation fails, the dispute shall be finally referred to arbitration in Kuala Lumpur, Malaysia:
- seat of arbitration: Kuala Lumpur, Malaysia;
- language: English;
- one arbitrator unless otherwise agreed.
39.5 Nothing in this clause prevents either Party from seeking interim, injunctive, or urgent court relief where necessary to prevent irreparable harm.
40. Jurisdiction
40.1 The courts of Malaysia shall have exclusive jurisdiction over judicial proceedings relating to these Terms.
40.2 Users accessing the Platform from outside Malaysia are responsible for ensuring compliance with local laws applicable in their jurisdiction.
41. Notice and Grievance Redressal Mechanism
41.1 Winngoo shall designate a Grievance Officer or Customer Relations Officer for handling:
- complaints;
- user grievances;
- data protection concerns;
- policy violation reports.
41.2 Users may submit grievances in writing, providing:
- full name and contact details;
- description of grievance;
- supporting evidence, if any;
- account identification details.
41.3 The Company shall:
- acknowledge receipt within a reasonable time;
- review and investigate the matter;
- provide a response or decision;
- take corrective measures where appropriate.
41.4 Failure to use this grievance mechanism shall not preclude the User’s right to seek other remedies under law.
42. Third-Party Services and Integrations
42.1 The Platform may integrate with or rely upon third-party:
- APIs;
- payment gateways;
- authentication services;
- analytics platforms;
- cloud hosting providers.
42.2 Such third-party services are subject to their own terms and privacy policies.
42.3 Winngoo:
- does not control third-party systems;
- is not responsible for their availability or performance;
- shall not be liable for loss arising out of their failure or malfunction.
42.4 Continued use of the Platform signifies consent to usage of such third-party integrations where required for service delivery.
43. Electronic Contracting and Records
43.1 By accessing or using the Platform, the User acknowledges that:
- consent;
- agreements;
- acceptances;
- instructions;
may be communicated electronically.
43.2 The User agrees that:
- clicking “accept”, “agree”, or similar action constitutes a legally binding electronic signature;
- electronic records maintained by Winngoo shall be admissible as evidence.
43.3 The User waives any objection to:
- admissibility of electronic documents;
- enforceability of electronically executed agreements.
44. Language
44.1 These Terms are drafted in the English language.
44.2 Translations may be provided for convenience; however:
- in the event of inconsistency;
- ambiguity or conflict;
the English version shall prevail.
45. Updates, Modifications and Variations of Terms
45.1 Winngoo reserves the right to:
- amend;
- modify;
- update;
- replace;
these Terms at any time.
45.2 Changes may be necessary due to:
- legal developments;
- regulatory requirements;
- operational changes;
- introduction of new features;
- business restructuring.
45.3 Updated Terms shall become effective upon:
- posting on the Platform; or
- notification to Users,
whichever occurs first.
45.4 Continued use of the Platform after changes constitutes acceptance of the revised Terms.
46. No Waiver
46.1 Failure or delay by Winngoo to enforce any right or provision shall not operate as a waiver.
46.2 A waiver shall only be valid if:
- it is in writing; and
- signed or issued by an authorised representative of Winngoo.
46.3 Any waiver shall apply only to the specific instance and not to future breaches.
47. Relationship Between Parties
47.1 Nothing in this Agreement shall be construed to create:
- partnership;
- joint venture;
- employer–employee relationship;
- agency or fiduciary relationship.
47.2 Users act as independent parties and shall not:
- represent themselves as authorised agents of Winngoo;
- bind Winngoo contractually without prior written consent.
48. Notices and Contact Information
48.1 Official notices to Winngoo shall be sent to the designated contact address or email as published on the Platform from time to time.
48.2 Notices to Users may be provided through:
- registered email;
- in-app notification;
- SMS;
- posting on the website.
48.3 Notices shall be deemed received:
- when transmitted (for electronic communications);
- within a reasonable delivery period (for physical mail).
49. Survival of Provisions
49.1 The following provisions shall survive termination of this Agreement:
- confidentiality obligations;
- limitation of liability;
- intellectual property rights;
- dispute resolution clauses;
